| 5 | +Thank you for your interest in the Symphony Java Client Parent project |
| 6 | +(the "Project"). The Project is an open source software initiative |
| 7 | +operated by Deutsche Bank AG, acting through its London branch (the |
| 8 | +"Operator") which has the aim providing tooling for Java Symphony |
| 9 | +developers. |

| 11 | +In order to clarify the intellectual property licence granted with |
| 12 | +contributions from any company, the Project must have a CCLA on file |
| 13 | +that has been signed by, or on behalf of, each company contributor, |
| 14 | +indicating agreement to the licence terms below ("Company |
| 15 | +Contributor"). |

| 17 | +This licence is for your protection as a Company Contributor as well as |
| 18 | +the protection of the Project and its users; it does not affect your |
| 19 | +rights to use your own contributions for any other purpose. |

| 21 | +This version of the CCLA allows a Company Contributor to submit |
| 22 | +contributions to the Project and to grant copyright and patent licences |
| 23 | +thereto. |

| 46 | +### 1.1. Acknowledgement |

| 48 | +You accept and agree to the following terms and conditions for your |
| 49 | +present and future contributions submitted to the Project. In return, |
| 50 | +neither the Project nor the Operator shall use your contributions in a |
| 51 | +way that is contrary to the public benefit or inconsistent with the |
| 52 | +Project aims. Except for the licence granted herein, you reserve all |
| 53 | +right, title, and interest in and to your contributions. |

| 55 | +### 1.2. Definitions |

| 59 | +"contribution" or "contributions" shall mean the code, |
| 60 | +documentation or other original works of authorship submitted by you |
| 61 | +in connection with this CCLA as well as any original work of |
| 62 | +authorship, including any modifications or additions to an existing |
| 63 | +work, that is intentionally submitted by you to the Project for |
| 64 | +inclusion in, or documentation of, a Program. |

| 66 | +"Program" shall mean any or all of the products managed or |
| 67 | +distributed by the Operator in connection with Project, including any |
| 68 | +products comprising (wholly or in part) the contributions. |

| 71 | +entering into this CCLA with the Operator. |

| 73 | +## 2. Licences |

| 77 | + - The Operator provides a repository from which users may, download |
| 78 | + and use contributions subject to the terms of a licence granted to |
| 79 | + the user by the contributor. |

| 81 | + - By providing contributions to the Operator in connection with the |
| 82 | + Project you are permitting the Operator to upload those |
| 83 | + contributions and to make them available for download by users. You |
| 84 | + are also permitting the Operator to undertake such activities in |
| 85 | + relation to the contributions as are reasonably necessary for the |
| 86 | + purposes of administering the Project. |

| 88 | +### 2.2. Licence |

| 90 | +Subject to the terms and conditions of this CCLA, by making the |
| 91 | +contributions available to the Project you hereby agree to grant to |
| 92 | +users of the contributions (where it is distributed or otherwise made |
| 93 | +available to the user by the Project) a license to your contribution |
| 94 | +under the terms of the Apache License, version 2.0. |

| 96 | +## 3. Representations |

| 98 | +3.1. You represent that each of your contributions is your original |
| 99 | + creation or the original creation of individuals for whom the |
| 100 | + intellectual property rights in such works vest in you. You |
| 101 | + represent that your contribution includes complete details of any |
| 102 | + third-party licence or other restriction (including, but not limited |
| 103 | + to, related patents and trademarks) of which you are aware and which |
| 104 | + are associated with any part of your contributions. |

| 106 | +3.2. You represent that, so far as you are aware at the time of |
| 107 | + contribution, your contributions are free from viruses and other |
| 108 | + malicious code. |

| 110 | +3.3. You represent that the individual signing this CCLA on behalf of the |
| 111 | + Company Contributor has full capacity and authority to enter into |
| 112 | + the CCLA. |

| 114 | +## 4. Warranties |

| 116 | +You are not expected to provide support for your contributions, except |
| 117 | +to the extent you desire to provide support. You may provide support |
| 118 | +for free, for a fee, or not at all. Unless required by applicable law |
| 119 | +or agreed to in writing, you provide your contributions on an "as |
| 120 | +is" basis, without warranties or conditions of any kind, either |
| 121 | +express or implied, including, without limitation, any warranties or |
| 122 | +conditions of title, non-infringement, merchantability, or fitness for |
| 123 | +a particular purpose. |

| 131 | +6.1. You agree that your contributions are public, and that a record of |
| 132 | + contributions (including any personal information you submit with |
| 133 | + such contributions, including your sign-off) will be maintained |
| 134 | + indefinitely and may be redistributed with the licence(s) involved. |

| 136 | +6.2. You agree to notify the Project of any facts or circumstances of |
| 137 | + which you become aware that would make the representations given |
| 138 | + under this CCLA inaccurate in any respect. |

| 140 | +6.3. You acknowledge that it is your responsibility to notify the Project |
| 141 | + when any change is required to your point of contact. |

| 143 | +## 7. Governing Law and Submission to Jurisdiction |

| 145 | +7.1. This CCLA shall be governed by English law. |

| 147 | +7.2. You agree that the courts of England and Wales are to have exclusive |
| 148 | + jurisdiction to settle any disputes which may arise out of or in |
| 149 | + connection with this CCLA and that accordingly any proceedings |
| 150 | + arising out of or in connection with it shall be brought in such |
